1. Acceptance of Terms

By accessing, browsing, or using the website, web application, mobile application, or services provided by Dhadu ("we," "us," or "our") (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately cease using the Service. These Terms constitute a legally binding agreement between you and Dhadu regarding your use of the Service.

2. Nature of Service (Disclaimer: NOT a Brokerage)

CRITICAL DISCLAIMER: Dhadu is a software-as-a-service (SaaS) platform for trading journaling, portfolio tracking, and analytics.

• We are NOT a Broker or Exchange: We do not execute trades, hold client funds, facilitate money transmission, or offer custody of assets.
• We are NOT Financial Advisors: The content, tools, analytics, AI insights ("AI Trading Coach"), and community discussions provided on Dhadu are for educational and informational purposes only. Nothing on the Service constitutes financial advice, investment recommendations, or an offer to buy or sell any financial instrument.
• No Guarantee of Profit: Trading in financial markets (Forex, Crypto, Stocks, Derivatives) involves a high degree of risk and the potential for significant loss. You acknowledge that you use Dhadu and its insights at your own risk. We do not guarantee that using our Service will result in profits or prevent losses.

3. Account Registration and Security

To access certain features, you must register for an account. You agree to:

1. Provide accurate, current, and complete information during registration.
2. Maintain the security of your password and identification.
3. Accept full responsibility for all activities that occur under your account.

You must be at least 18 years old to use Dhadu. We reserve the right to suspend or terminate accounts that provide false information or share credentials with third parties.

4. Subscriptions, Billing, and Payments

Dhadu offers free and paid subscription plans (e.g., "Pro," "Premium").

• Payment Processing: We use Stripe as our third-party payment processor. By subscribing, you authorize us (via Stripe) to charge your payment method for the recurring subscription fee.
• Billing Cycle: Subscriptions renew automatically (monthly or annually) unless canceled at least 24 hours before the end of the current period.
• Cancellations: You may cancel your subscription at any time via the "Settings > Billing" page. Access to paid features will continue until the end of the current billing cycle.
• Refund Policy: Unless required by applicable law, payments are non-refundable. We may, at our sole discretion, offer a refund in cases of technical error, but we are not obligated to do so for "change of mind."
• Plan Limits: We strictly enforce plan limits (e.g., number of Trading Accounts, Trade History limits). If you downgrade your plan, certain data or features may become inaccessible until you upgrade again.

5. User Data and Broker Synchronization

• Your Data: You retain ownership of the data you enter into Dhadu (trade logs, notes, journal entries). You grant us a license to store, process, and display this data solely to provide the Service to you.
• Broker Sync: If you use our "Broker Sync" or API import features, you acknowledge that Dhadu relies on third-party APIs (e.g., MetaTrader, Binance, Plaid). We are not responsible for:
• Inaccuracies, delays, or errors in data provided by your broker.
• Service interruptions caused by third-party API changes.
• Any security breach occurring on your broker’s side.
• Read-Only Access: Dhadu requests Read-Only access to your brokerage accounts. You agree NOT to provide API keys that grant "Withdrawal" or "Trade Execution" permissions. We are not liable for any losses resulting from your failure to restrict API permissions.

6. AI Trading Coach & Automated Insights

The "AI Trading Coach" and other automated analysis tools use artificial intelligence to identify patterns in historical data.

• No Reliance: AI outputs are probabilistic and generated by algorithms. They are not human verification of market conditions. You should never execute a trade based solely on an AI suggestion.
• Liability: Dhadu shall not be liable for any trading losses incurred by following analysis, setups, or "coaching" provided by the AI features.

7. Prohibited Conduct

You agree not to:

1. Scrape or copy data, content, or code from the Service without our express written permission.
2. Use the Service for any illegal purpose or to violate any local, state, or international law.
3. Attempt to reverse engineer, decompile, or hack any aspect of the Service.
4. Share your account credentials with others to bypass subscription fees ("Account Sharing").
5. Post content in the "Community" or "Discover" sections that is abusive, harassing, defamatory, or promotes "pump and dump" schemes.

8. Intellectual Property

The Dhadu platform, including its code, design, logos, "Win Rate" calculation logic, and proprietary algorithms, is the exclusive property of Dhadu and its licensors. Providing feedback or suggestions does not grant you ownership in the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DHADU DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DHADU, ITS FOUNDERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY TRADING LOSSES INCURRED BY YOU.

IN NO EVENT SHALL DHADU'S AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID DHADU, IF ANY, IN THE PAST SIX MONTHS.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. Upon termination, your right to use the Service will immediately cease.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice via email or a dashboard notification prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
